BUSINESS ORGANIZATIONS / CORPORATE COUNSEL

• Advise and assist clients on business formation issues, and drafting various organizational and corporate documents (Bylaws, Operating Agreements, Shareholder Agreements, etc.).  

• Represent clients in the establishment of franchisee businesses.

• Represent clients with drafting and/or negotiation of commercial contracts, including service agreements, consulting agreements, employment agreements, leases, licensing agreements, and indemnification agreements, among others.

• Advise and assist clients as outside corporate counsel for a vast network of businesses on day-to-day issues. 

• Advise and assist clients with the maintenance of corporate and ownership records.

CORPORATE RESTRUCTURE

• Represent clients in corporate restructures, including restructures in connection with Rollovers for Business Startup (or 401k business financing), both funding and exit.

• Plan and execute reorganizations in connection with the purchase and sale of businesses.

• Advise and assist clients with various statutory conversions, domestications, and foreign qualifications.

SUCCESSION PLANNING AND IMPLEMENTATION

• Advise and assist clients with succession planning.

• Represent clients in the execution of buy-ins and buy-outs (complete or structured buy-out).

• Advise and assist clients with the transfer or gifting of equity.
